The Murdochs own too much of the voting stock to allow for a board change. I can't find current info but they used to own about 40% of the class B shares which are the voting stock vs the class A shares which can't vote.
I'm not so sure. Not to be too cynical, but in America, it's all about the money.
When Fox settles with Smartmatic and the investor suit, along with any criminal fraud charges that may follow, I think the big names will find a way to "retire".
Nonetheless, there's a lot of pain coming Fox's way. The Dominion settlement is the first domino.

Admittedly, they stayed to watch Tucker after O'Reilly left but the viewers will demand someone that can feed them the same shit sandwiches day after day.

By "big names", I mean the Murdochs, not the media whores like Tucker and Sean who'd sell their own mothers to Russian sex traffickers if the price was right and they received a lot of publicity.

The bigger issue for Fox will be when they renegotiate with the major cable and satellite providers. As long as they continue to get money from every subscriber they will do fine. If this causes the providers to consider not including them in the basic package it could cost Fox a lot.
Rupert isn't going to be retiring to spend time with his new wife now that his latest fiance and he have called it off.

I watched yesterday's Brett Baier show (he was absent as host). They didn't even mention the settlement until 30 minutes into the show and not the amount of money paid. LOL
If the investors sue and win, his retirement fund will be a lot smaller. I'm certain he'd be forced to give up controlling shares in the company.

Total revenue for News Corp is $14.28 billion a year, or $275 million a week. That is from all revenue sources, with only a minority coming from advertisement.
