A good reason why he should cooperate?
It's a civil lawsuit that could shut down his companies. By cooperating and answering questions he can make a case for why the company books were the way the were and why he used different valuations at different times. By not cooperating, he has no defense and the only evidence a court will hear is the side that wants to shut him down. By taking the fifth in a civil lawsuit, the court and a jury can assume that he is guilty of what he is accused of since the only penalties are civil and this is not a criminal trial.
Why he wouldn't cooperate? Because his actions were illegal and if he admits to them he could be subject to criminal charges.
