Well, their actions turned out to be to approve the deal, so apparently once they did the math, most thought it was a good deal for them.

They chose to sell. Apparently the power didn't matter to them as much as the immediate money. What will be interesting to see, though, is Musk's approach. Did he buy it in order to have power over people's information? What do you suppose he'll be doing with that?

They chose to sell because of PRESSURE from shareholders. The board didn't want to get sued by share holders.

I don't know if there was fear of getting sued but there was definitely pressure from shareholders to sell as no other viable offers came in and Musk showed he had his financing lined up.
